Terms and Conditions

The rules and principles governing your use of Emiote's website, products, and studio client engagements.

These Terms and Conditions ("Terms") govern your access to the website at emiote.com (the "Site") and any product engineering, MVP development, software modernization, or Reframe consulting services (the "Services") provided by Emiote Solutions ("Emiote," "we," "us," or "our"). By using the Site or purchasing Services, you agree to these Terms.

1. Studio Services & Scope

We provide product engineering, custom software development, architecture review, and related digital services as defined in signed proposals, statements of work (SOW), or accepted scope specs. Deliverables, timelines, and milestones are explicitly documented in writing prior to work commencement.

2. Accounts & Eligibility

You must be at least 18 years old and legally authorized to bind your organization to a legal contract to purchase our Services. You agree to provide accurate, complete information for all commercial billing and project communication.

3. Fees & Payment Terms

Fees for studio services are invoiced according to agreed project milestones or retainer schedules. Invoices are due upon receipt or within the timeframe specified on the invoice. Unpaid balances past 15 business days may result in temporary work suspension.

4. Intellectual Property & Code Ownership

  • Pre-Existing Studio IP: We retain ownership of our pre-existing code libraries, starter templates, and internal design tools.
  • Client Deliverables: Upon receipt of full payment for an agreed deliverable or phase, we grant you full, exclusive rights and ownership of the custom code, design files, and documentation created specifically for your project.
  • In-House Products: Proprietary software owned by Emiote (such as Ankik and Retainix) remains our exclusive intellectual property.

5. Partner Responsibilities

Successful engineering requires close collaboration. You agree to provide timely feedback, required domain assets, access tokens, and approvals needed to keep projects moving forward according to schedule.

6. Third-Party Infrastructure & Services

Engagements may involve third-party hosting (Vercel, AWS, Cloudflare), databases, or API providers. Third-party services are governed by their respective terms, and we are not liable for external service outages beyond our control.

7. Warranties & Limitation of Liability

Services are provided with professional care and engineering rigor. To the maximum extent permitted by applicable law, our total liability for any claim arising out of or related to an engagement is capped at the total fees paid by you to Emiote for the specific service phase giving rise to the claim in the preceding 12 months.

8. Termination

Either party may terminate a project engagement according to the cancellation notice terms set out in your signed agreement. Accrued fees for completed work and committed resources remain payable.

9. Governing Law

These Terms are governed by the laws applicable in India, without giving effect to conflicts of law principles.
